Welcome to Digitized Health ("we," "us," or "our"), an application designed to assist healthcare providers in facilitating effective care coordination and managing their internal processes. By accessing or using our app and services (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, please do not use the Service.

1. Acceptance of Terms

These Terms govern your use of the Service. By creating an account, uploading content, or otherwise using the Service, you accept these Terms in full. We may update these Terms from time to time, and the updated version will be posted in the app with a revised "Effective Date." Continued use of the Service after changes constitutes your acceptance of the new Terms.

2. Eligibility

To use the Service, you must:

  • Be a licensed healthcare provider or an authorized representative of a healthcare organization.
  • Be at least 18 years old.
  • Have the legal authority to enter into these Terms.

You may not use the Service if you do not meet these criteria or if your account has been suspended or terminated.

3. Account Registration and Security

  • Registration: To access the Service, you must create an account by providing accurate and complete information, including your name, professional credentials, and contact details. You agree to keep this information current.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials (e.g., username and password) and for all activities under your account. Notify us immediately of any unauthorized use at support@digitizedhealth.ai.
  • Verification: We reserve the right to verify your credentials and deny access if we cannot confirm your eligibility.

4. Use of the Service

a. Permitted Use

You may use the Service to:

  • Upload documents and care update notes to create patient profiles using our AI technology.
  • Share patient profiles with other authorized providers for care coordination.
  • Send and receive messages with other providers.
  • Manage referrals, track referral statuses, and access referral analytics.
  • Coordinate and assign tasks to internal and external stakeholders
  • Leverage the tools available to effectively manage your internal operations

b. Prohibited Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Upload inaccurate, falsified, or misleading information.
  • Share patient data without proper authorization or consent as required by law.
  • Attempt to reverse-engineer, hack, or interfere with the Service.
  • Use the Service to harass, spam, or harm others.

We reserve the right to audit user activity to ensure compliance with this policy. Continued use of the Platform constitutes acceptance of these billing terms.

c. User Access Roles and Responsibilities

By using Digitized Health, you agree to only access patient information as authorized under your assigned system role and in accordance with the organization's role as a Covered Entity or Business Associate. Misuse of clinical access privileges may result in suspension, investigation, or legal action.

5. Intellectual Property

  • Our Content: The Service, including its software, AI algorithms, design, and branding, is owned by Digitized Health or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute it without our written consent.
  • Your Content: You retain ownership of the documents, patient data, and messages you upload. By uploading patient data, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display it as necessary to provide the Service (e.g., AI extraction, sharing with other providers).

6. Privacy and Compliance

Your use of the Service is subject to our Privacy Policy, which outlines how we collect, use, and protect your information. As a healthcare provider, you are responsible for:

  • Obtaining patient consent to upload and share their data, as required by laws like HIPAA or GDPR.
  • Ensuring your use of the Service complies with all applicable healthcare and privacy regulations.

7. AI and Data Accuracy

  • Our AI extracts information from uploaded documents to populate patient profiles. While we strive for accuracy, we do not guarantee that the extracted data will be error-free. You are responsible for reviewing the extracted information
  • We are not liable for decisions made based on AI-generated data.

8. Fees and Payment

  • Subscription: Access to the Service may require a subscription fee, detailed at the time of registration or in your account settings. Fees are non-refundable except as required by law.
  • Free trial: Digitized Health may offer new users a free trial for a limited period of time (e.g., 7 days) to evaluate the platform. During this period, users will have access to selected or full features of the platform at no cost.
  • Authorization: To activate the free trial, users may be required to provide valid payment information. By submitting your payment details, you authorize Digitized Health to charge your payment method automatically at the end of the trial period unless you cancel your account prior to the trial expiration date.
  • Automatic Billing: Unless canceled before the end of the free trial period, your subscription will automatically convert to a paid subscription, and your payment method will be charged the applicable subscription fee based on the pricing plan selected at registration. No additional notice or confirmation will be required prior to the charge.

9. Termination

  • By You: You may deactivate your account at any time by contacting us at [support@digitizedhealth.ai].
  • By Us: We may suspend or terminate your access to the Service if you violate these Terms, fail to pay fees, or if we discontinue the Service, with or without notice.
  • Effect of Termination: Upon termination, your right to use the Service ends, but we may retain certain data as required by law.

10. Disclaimers

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of fitness for a particular purpose or uninterrupted access.
  • We do not provide medical advice or act as a healthcare provider. The Service is a tool for providers, and you are solely responsible for clinical decisions.

11. Limitation of Liability

To the fullest extent permitted by law, Digitized Health, its affiliates, and its employees will not be liable for:

  • Indirect, incidental, or consequential damages (e.g., loss of profits, data, or goodwill) arising from your use of the Service.
  • Errors in patient profiles or referral processes.
  • Unauthorized access to your account or data due to your failure to secure your credentials.

12. Indemnification

You agree to indemnify and hold Digitized Health, its affiliates, and its employees harmless from any claims, losses, or damages (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable laws.

13. Governing Law and Dispute Resolution

  • Governing Law: These Terms are governed by the laws of Georgia, United States without regard to conflict of law principles.
  • Disputes: Any disputes arising from these Terms will be resolved through binding arbitration in Atlanta Georgia, except for claims that may be brought in small claims court. You waive your right to participate in class actions.

14. Miscellaneous

  • Entire Agreement: These Terms, along with the Privacy Policy, and Business Association Agreement constitute the entire agreement between you and Digitized Health.
  • Severability: If any provision of these Terms is found invalid, the remaining provisions will remain in effect.
  • Assignment: You may not assign these Terms without our consent; we may assign them in connection with a business transfer.
